01 Definitions
"Company", "We", "Our" refers to BIGCONVERT S.R.L., CUI 50267307, with registered office at Șos. Gheorghe Ionescu Sisești nr. 32, Sector 1, București, România. "Client", "You", "Your" refers to the person or entity accessing this website or engaging our services. "Services" refers to all digital marketing, Google Ads management, PPC campaign management, Google Shopping CSS services, affiliate marketing services, SaaS products (including ProductXL.com), consulting, and any related deliverables provided by BigConvert. "Website" refers to ovidiugolea.com and bigconvert.com, including all subdomains and related properties.
02 Services & Scope
BigConvert provides data-driven digital marketing services including but not limited to: Google Ads campaign management, Google Shopping ads optimization, Google CSS (Comparison Shopping Service) partnership services, PPC (Pay-Per-Click) strategy and execution, affiliate marketing management, eCommerce performance marketing, product feed management and optimization, POAS (Profit on Ad Spend) tracking implementation, competitor price monitoring, and AI-powered catalog optimization. All services are delivered under individual service agreements or subscription plans as agreed between BigConvert and the Client.
03 Google CSS Specific Terms
As a certified Google Premium CSS (Comparison Shopping Service) Partner, BigConvert enables merchants to place Shopping ads on Google search results pages through our CSS. By using BigConvert as your CSS partner, you gain access to the bidding advantage provided by Google for CSS partners, which may result in reduced cost-per-click (CPC) compared to Google's own Shopping CSS. The CSS advantage is subject to Google's policies which may change at any time. BigConvert does not guarantee specific CPC reductions as these depend on multiple factors including competition, bid strategies, and Google's auction dynamics.
04 Service Level Agreement
BigConvert commits to the following service levels for active clients: critical issues (service outages, campaign errors) are addressed within 4 business hours; standard inquiries receive a response within 24 business hours. For our CSS feed management platform and SaaS products, we guarantee 99.9% uptime. Service credits may apply for downtime exceeding this threshold, as detailed in individual service agreements.
05 Intellectual Property Rights
All intellectual property rights in the Website, our software solutions (including ProductXL.com), proprietary technologies, methodologies, reports, and materials created by BigConvert remain the exclusive property of BIGCONVERT S.R.L. and/or its licensors. The Client is granted a limited, non-exclusive, non-transferable license to use our tools and materials solely for the purposes outlined in the applicable service agreement. The Client retains ownership of their own data, product feeds, brand assets, and business content provided to BigConvert for the purpose of service delivery.
06 Payment & Billing
Service fees are billed in advance on a monthly or annual basis as specified in the individual service agreement. All fees are exclusive of VAT and applicable taxes unless otherwise stated. BigConvert is a registered VAT payer (RO50267307). Payment is due within the terms specified on each invoice. Late payments may result in service suspension after written notice. Subscription cancellations must be submitted in writing at least 30 days before the next billing cycle.
07 Limitation of Liability
To the maximum extent permitted by Romanian law, BIGCONVERT S.R.L., its officers, directors, employees, and affiliates shall not be held liable for any indirect, incidental, consequential, or special damages arising out of or in connection with the use of our Website or Services. This includes, but is not limited to, loss of revenue, loss of data, loss of business opportunities, or any damages arising from changes to Google's advertising platform, algorithm updates, or third-party platform modifications. BigConvert's total liability under any service agreement shall not exceed the total fees paid by the Client in the twelve (12) months preceding the claim.
08 Governing Law & Jurisdiction
These Terms and Conditions are governed by and construed in accordance with the laws of Romania. Any disputes arising from or related to these terms shall be subject to the exclusive jurisdiction of the competent courts in București, România. For EU consumers, this does not affect your rights under mandatory consumer protection legislation in your country of residence.
